Terms of Service

1. Welcome to BeeGeeBox

These terms (“Terms”) form the agreement between you and GeneZero Technology Limited (“we”, “us” or “our”) when you download, install, or use BeeGeeBox. By using BeeGeeBox, you agree to these Terms.

2. Your notes belong to you

Everything you create in BeeGeeBox is your content. You own it. You give us only a limited license to handle your content so we can run the service for you: storing it, keeping it in sync across your own devices, and showing it back to you. That license ends when your account ends. We do not use your notes for ourselves, train AI on them, or sell them.

3. Our Intellectual Property

BeeGeeBox, including its software, design, branding, and all associated intellectual property, is owned by GeneZero Technology Limited. You may not reverse-engineer, decompile, copy, or create derivative works of the app except as expressly permitted by law.

4. Where your data lives

BeeGeeBox is local-first. By default, everything is saved on your own device, inside your private “Data Vault”.

Cloud syncing is optional. If you turn it on, your notes are copied to our cloud infrastructure provider (currently Firebase/Google) so you can access them from your other devices. Note content is encrypted before it leaves your device using keys derived from your master password. We do not store your master password or those keys in a readable form, which means we cannot read the text of your notes. As noted in our Privacy Policy, metadata like tags and workspace names are not end-to-end encrypted and are stored securely on our servers to enable fast cross-device organization and searching.

5. Cloud sync & availability

Cloud sync is a convenience, provided “as is”. Syncing can be delayed by network conditions, and cloud features need an internet connection. If changes from different devices cannot be reconciled cleanly, the app will tell you and help you resolve the difference — your work is never discarded without your knowledge.

6. Accounts & security

You are responsible for keeping your account credentials, master password, and PIN safe. If you lose your master password, the encrypted data it protects cannot be recovered — that is a deliberate privacy design, and we cannot reset it for you.

7. Subscriptions & billing

BeeGeeBox offers a free plan and paid plans — the current plans, limits, and prices are shown in the app.

• Direct / web payments: Payments are processed securely by a third-party payment provider (currently Stripe). You can cancel or change your plan at any time via our billing portal. When you cancel, you keep access until the end of the period you have already paid for, and you will not be charged again.
• Refunds (direct / web payments): If you think you have been charged in error, or you would like a refund, email us at [email protected] within 14 days of the charge. We review these requests individually and, where a refund is due, process it through Stripe back to your original payment method. Refunds are issued at our discretion and in line with any rights you have under applicable consumer law.
• App store purchases: If you purchase a subscription through an applicable mobile or desktop app store in the future, billing is handled by that store. Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period. You can manage and cancel these subscriptions in your app store account settings. We do not issue direct refunds for app store purchases; refunds are subject to the app store’s policies.

8. AI Features Disclaimer

If you choose to use optional AI features, you acknowledge that:

• You are connecting directly to a third-party AI provider using your own API key. You are solely responsible for any costs or fees charged by that provider.
• You are bound by the terms of service of that AI provider.
• AI output is provided “as is” and may be inaccurate, incomplete, or unsuitable for your purposes. GeneZero is not responsible for any decisions made based on AI-generated content.

9. Third-Party Services

BeeGeeBox integrates with third-party services (such as cloud hosting, payment gateways, and AI providers). Your use of these services may be subject to their own terms and policies. We are not responsible for the actions, omissions, or downtime of third-party services.

The app also includes open-source software components. The licences and attributions for those components are listed inside the app under Help centre → Open-source Licences. Your rights under those licences are independent of, and are not limited by, these Terms.

10. Service availability & our liability

We work hard to keep BeeGeeBox reliable, but we provide the service “as is” and without warranties of any kind, either express or implied (including implied warranties of merchantability or fitness for a particular purpose). We are not liable for data loss, corrupted data, or app downtime. Your local notes live on your own device, and your cloud-synced notes are an extra copy — never the only one. Please use the app’s built-in export and backup features.

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of these Terms is limited to the total amount you paid us in the twelve (12) months preceding the claim, or a refund of the affected period. This clause does not exclude liability that the law says we cannot exclude.

11. Your conduct

While using BeeGeeBox, please do not:

• use the service in a way that breaks the law;
• attempt to access accounts or data that are not yours;
• or interfere with the service or try to harm it, other users, or third parties.

12. Stopping use & termination

You can stop using BeeGeeBox at any time. We may suspend or terminate an account that seriously or repeatedly breaks these Terms. We will tell you why when we do, unless telling you would put others at risk or violate legal obligations.

13. Who can use BeeGeeBox

BeeGeeBox is not directed at children. You must be at least 13 years old to create an account, or older if the minimum age of digital consent in your country is higher (for example, 16 in some EU member states). By using BeeGeeBox, you confirm that you meet the applicable minimum age.

14. General Provisions

• Severability: If any part of these Terms is found to be unenforceable, the remaining parts will remain in full effect.
• Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding BeeGeeBox.
• Assignment: We may transfer our rights and obligations under these Terms to another entity (e.g., in the event of an acquisition), provided your data privacy rights remain protected.
• Force majeure: We are not liable for failures caused by events beyond our reasonable control (e.g., natural disasters, internet outages, or government actions).
• Export compliance: You represent that you are not located in a country subject to applicable sanctions and that you will not use BeeGeeBox in violation of export-control laws.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the new Terms here and update the “last updated” date. Continuing to use BeeGeeBox after a change means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of Hong Kong SAR, and any disputes will be resolved in the courts of Hong Kong. Nothing in these Terms gives you fewer rights than the law gives you.

If you are a consumer in the EU, the UK, or another jurisdiction with mandatory consumer-protection rules: nothing in these Terms excludes or limits any statutory rights you have that cannot be waived, including your right to bring proceedings in the courts of your country of residence and your rights regarding refunds and cancellation.

17. Prevailing Language

This document is provided in both English and Chinese. In the event of any inconsistency or discrepancy between the English version and the Chinese version, the English version shall prevail.
